By accessing or using the ChartWise website, ChartWise Desktop application, MetaTrader Bridge, mobile applications, trade journal, or related APIs (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy and Risk Disclosure. If you do not agree with any part of these Terms, you must immediately discontinue using all ChartWise software and services.
2. Description of Services & Software
ChartWise provides software tools for independent traders, including:
- Trade Journal & Analytics: Automated syncing, review tagging, statistical expectancy calculations, and AI-assisted performance recaps.
- Desktop Bridge & MetaTrader Integration: Local socket-based communication between your local MetaTrader 4 / MetaTrader 5 terminal and ChartWise user interfaces.
- Trade Execution Tools: Sizing calculators, trailing stops, auto break-even, partial take-profits, and risk guard alerts.
ChartWise is not a broker, dealer, financial institution, or custodian. ChartWise does not hold client funds, accept deposits, or execute trades directly on financial exchanges.
3. No Financial, Investment, or Trading Advice
ALL CONTENT, ANALYTICS, HEURISTIC SCORING, AI-GENERATED SUMMARIES, AND TOOLS PROVIDED BY CHARTWISE ARE STRICTLY FOR EDUCATIONAL, INFORMATIONAL, AND WORKFLOW PURPOSES ONLY.
Nothing within the application, documentation, or marketing constitutes financial, investment, legal, tax, or trading advice. Past performance, backtested results, or simulated statistical models are not indicative of future market outcomes. You are solely responsible for evaluating your trading decisions and determining whether any financial instrument or strategy suits your risk tolerance.
4. User Account & Responsibilities
To access certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Safeguard your authentication credentials and bridge security pairing tokens.
- Promptly notify ChartWise of any unauthorized access to your account.
- Accept full responsibility for all activities conducted under your credentials.
5. MetaTrader Bridge & Order Routing Liability
When using ChartWise Desktop and the MetaTrader Bridge Expert Advisor (EA):
- You acknowledge that market order routing, trailing stop adjustments, and position modifications occur over local socket connections and network protocols that are subject to hardware latency, internet disconnections, broker execution delays, slippage, and spread widening.
- You are solely responsible for all orders, stop losses, lot sizes, and position closures transmitted through the Bridge to your MetaTrader terminal and broker.
- ChartWise disclaims all liability for financial losses, missed exits, execution slippage, broker rejections, or unexpected trade modifications resulting from software glitches, disconnections, or system failures.
6. Software License & Intellectual Property
Subject to your compliance with these Terms, ChartWise grants you a personal, non-exclusive, non-transferable, revocable license to download, install, and use the software for your individual trading activities.
All rights, title, and interest in and to the ChartWise Services, logos, trademarks, design systems, source code, and algorithms remain the exclusive intellectual property of ChartWise. Third-party open-source libraries bundled within the desktop application are distributed subject to their respective open-source licenses as set forth in the in-app Open-Source Notices.
7. Subscriptions, Billing & Cancellations
Certain premium features are available on a paid subscription basis:
- Billing: Fees are billed in advance on a recurring monthly or annual schedule as specified during checkout.
- Cancellation: You may cancel your subscription at any time via your account settings. Upon cancellation, your access remains active until the end of the current billing cycle.
- Refunds: Payments are non-refundable except where required by applicable consumer protection laws.
8. Acceptable Use Policy
You agree not to:
- Decompile, reverse-engineer, or attempt to extract source code from proprietary binary packages.
- Circumvent licensing checks, authentication mechanisms, or rate limits.
- Use the Services for fraudulent, abusive, or unlawful market manipulation activities.
- Interfere with or disrupt the security or integrity of ChartWise servers, databases, or client networks.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CHARTWISE DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHARTWISE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, CAPITAL DRAWS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, CHARTWISE'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO CHARTWISE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless ChartWise, its affiliates, and their respective officers, directors, and employees from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your trading activities.
12. Modifications to Terms & Services
We reserve the right to revise or update these Terms at any time. When material changes occur, we will update the "Last Updated" date at the top of this document and notify users through in-app notices. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding confidential arbitration or competent courts located within the jurisdiction of ChartWise's operating entity.
